These Terms of Use (“Terms“) govern your access to and use of the website located at koofa-global.com, including any subdomains, content, features, and services offered through it (collectively, the “Site“). The Site is operated by KOO Facilitation Group, Inc. (“KOOFA,” “we,” “us,” or “our“), a corporation organized under the laws of the Republic of Korea, with its principal place of business at 7th & 9th Floor, Areumdaun Building, 9, Teheran-ro 22-gil, Gangnam-gu, Seoul, South Korea.

By accessing or using the Site, you (“you” or “user“) agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Site.

1. Acceptance of Terms

By accessing the Site, submitting any form, subscribing to our newsletter, purchasing a product, booking a consultation, or otherwise interacting with the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Site on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. About KOOFA

KOOFA is an organizational development (OD) consulting and facilitation training firm. Through the Site, we provide information about our services, publish articles and insights, offer educational programs and certifications, sell selected publications and facilitation tools through our online boutique, and enable visitors to contact us, subscribe to our newsletter, and book consultations.

3. Description of Services

Through the Site, we make available the following:

• Informational content about KOOFA, our team, our methodology, and our services.
• Inquiry and contact mechanisms, including a contact form and a consultation booking system.
• Newsletter subscription for those who opt in to receive periodic communications.
• The KOOFA Boutique, an e-commerce facility offering books, facilitation tools, accessories, and (where applicable) venue rentals.
• Editorial content through KOOFAZine and links to related KOOFA channels.
• Links to third-party services and partner organizations, including external certification providers and KOOFA’s affiliated channels.

We may add, modify, suspend, or remove any feature of the Site at any time, with or without notice.

4. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site, make a purchase, book a consultation, or submit personal information through any form on the Site. The Site is not intended for and is not directed to children under the age of 13 (or under 16 in jurisdictions where that higher threshold applies), and we do not knowingly collect personal information from such individuals. 7. Introduce any virus, trojan, worm, logic bomb, or other material that is malicious or technologically harmful;
8. Use the Site to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity;

6. Intellectual Property Rights

All content on the Site — including text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layouts, underlying code, and software — is the property of KOOFA or its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The trademarks, service marks, and logos used and displayed on the Site, including but not limited to “KOOFA,” “KOO Facilitation Group,” “Reflective Organization®,” “OD Five Loop,” and related brand assets, are registered or unregistered trademarks of KOOFA. Nothing on the Site should be construed as granting any license or right to use any trademark without our prior written permission.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes. Any other use — including reproducing, modifying, distributing, transmitting, republishing, displaying, or performing any content from the Site — requires our prior written consent.

7. User Submissions

If you submit any information, message, inquiry, feedback, idea, suggestion, or other communication to KOOFA through the Site or by email (“Submissions“), you grant KOOFA a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and distribute such Submissions for any lawful purpose, except that personal information you provide will be handled in accordance with our Privacy Policy.

You represent and warrant that any Submission you provide:

• Is your original work or that you have all necessary rights to grant the license above;
• Does not infringe the intellectual property rights or other rights of any third party;
• Does not contain any unlawful, defamatory, threatening, harassing, abusive, libelous, or otherwise objectionable material.

We reserve the right to refuse or remove any Submission at our sole discretion.

9. Purchases through the KOOFA Boutique

Certain features of the Site, including the KOOFA Boutique, allow you to purchase products. By placing an order, you represent that:

• The information you provide is accurate, complete, and current;
• You are authorized to use the payment method you provide.

All purchases are subject to product availability. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to orders containing pricing or product description errors, suspected fraud, or unauthorized transactions. Payment is processed by third-party payment processors, and you agree to be bound by their terms when completing a purchase. Pricing is displayed in the currency selected on the Site (currently Euro or Korean Won) and is exclusive of any applicable taxes, duties, or shipping fees unless stated otherwise.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KOOFA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

KOOFA does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranty as to the accuracy, completeness, timeliness, or reliability of any content on the Site. Any reliance you place on such content is strictly at your own risk.

Nothing on the Site constitutes professional advice. The educational, consulting, and OD content published on the Site is provided for general informational purposes only and should not be relied upon as a substitute for professional consultation tailored to your organization’s specific circumstances.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KOOFA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SITE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
• ANY CONTENT OBTAINED FROM THE SITE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

KOOFA’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO KOOFA THROUGH THE SITE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless KOOFA, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys’ fees) arising from or related to:

• Your access to or use of the Site;
• Your violation of these Terms;
• Your violation of any third-party right, including without limitation any intellectual property, privacy, or publicity right;
• Any claim that your Submissions caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, share, and protect your personal information. By using the Site, you consent to the practices described in our Privacy Policy.

14. Modifications to the Terms and Services

We reserve the right to modify or revise these Terms at any time at our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of these Terms and, where appropriate, provide additional notice (for example, by email or by posting a notice on the Site). Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict-of-laws provisions.

The parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Site through friendly negotiation. If the dispute cannot be resolved through negotiation, the parties consent to the exclusive jurisdiction of the Seoul Central District Court in the Republic of Korea, except that KOOFA may bring proceedings to protect its intellectual property rights in any court of competent jurisdiction worldwide.

Nothing in this section shall limit any non-waivable rights you may have under the mandatory consumer protection laws of your country of residence.

17. Severability and Entire Agreement

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

These Terms, together with the Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and KOOFA concerning your use of the Site and supersede any prior agreements, understandings, or communications between you and KOOFA.

18. Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms freely, including in connection with a merger, acquisition, sale of assets, or operation of law.

19. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. KOOFA’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
